The agreement between you and Ascend. Plain summary first, full terms below. Draft v1, June 16, 2026. United States only.
These Terms are a founder draft under attorney review. Bracketed details, including the arbitration venue and liability amounts, will be finalized with counsel, and material changes will be notified per section 18.
By accessing or using Ascend (the "Service"), you agree to these Terms of Service, our Privacy Policy, and our Community Guidelines, which are incorporated by reference. If you do not agree, do not use the Service. You accept these Terms when you create an account, and they apply to all later use.
You must be at least 18 years old, located in the United States, and able to form a binding contract. The Service is intended for U.S. users only.
"User Content" means reviews, ratings, tags, replies, and any other content you submit. "Reviewer" means a user who submits a review; "Subject" means a manager or individual referenced in a review. "Verification" means our process of confirming employment without linking that confirmation to your User Content.
Ascend is an interactive computer service that hosts User Content and displays aggregate, statistical representations of users' subjective opinions and experiences. Reviews reflect the personal opinions and individual experiences of users, not the views, findings, or statements of Ascend. Ascend does not adopt, endorse, verify the truth of, or author the substantive content of reviews. Aggregate scores are automated computations over users' opinions, provided for general informational purposes only.
You are responsible for your account and for activity under it. Verification is the step where you confirm your employment, by your own confirmation or by a stronger method you choose. It is separated by design from your User Content: reviews are stored apart from account records and carry a one-way code, never your name or email (see Section 9). You agree to provide accurate information and not to misrepresent your employment or identity.
You are solely responsible for your User Content and any consequences of posting it. You represent that your User Content reflects your genuine, good-faith opinion based on your actual personal experience, and does not contain knowingly false statements of fact. You retain ownership of your User Content and grant Ascend a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, aggregate, and distribute it in connection with operating and promoting the Service. This license survives termination with respect to User Content already incorporated into aggregate scores.
You agree not to submit User Content that: (a) states or implies false statements of fact, or accuses any person of illegal or criminal conduct as fact; (b) references a person's protected characteristics (such as race, color, religion, sex, gender identity, sexual orientation, national origin, age, or disability); (c) identifies or discloses third parties, or includes private or personal information of any person; (d) is harassing, threatening, defamatory, or obscene, or contains slurs; (e) you do not have a genuine employment-based experience to support; (f) is intended to manipulate scores (fake, duplicate, coordinated, or incentivized reviews); or (g) infringes intellectual property or violates any law. We may refuse, hold, edit for policy compliance, or remove any User Content at our discretion.
User Content consists of opinions and should not be treated as statements of fact. The Service is not a consumer reporting agency, and its information is not a "consumer report" under the Fair Credit Reporting Act (FCRA) or similar laws. You agree not to use the Service or any information from it, in whole or in part, as a factor in establishing an individual's eligibility for employment, promotion, reassignment, retention, credit, insurance, housing, or for any other purpose covered by the FCRA or analogous state laws. Such use is strictly prohibited.
We design the Service to protect Reviewer anonymity. Reviews are stored apart from account records and carry a one-way code, never a name or email. Matching that code to an account requires a protected key held outside both systems, and we do so only where necessary to protect the security and integrity of the Service, to investigate suspected fraud or abuse, to check the authenticity of a review that has been seriously challenged, or to comply with law. We do not identify a Reviewer to a Subject or an employer on request. We may be legally compelled, for example by subpoena, court order, or law, to disclose information in our possession. We cannot guarantee anonymity against valid legal process, and you acknowledge that anonymity may be pierced by a court of competent jurisdiction. We will handle any such request consistent with applicable law and our Privacy Policy.
A Subject may claim their profile, subject to verification, and post a reply. Subjects cannot alter or delete reviews or scores. Removal occurs only for violations of these Terms, never for a fee or mere preference. Reporting and takedown procedures are described in our Community Guidelines.
We may, but are not obligated to, monitor, moderate, hold, or remove User Content. Any party may report content believed to violate these Terms; we will review reports under our policies. Our moderation is undertaken in good faith and does not make us the publisher or speaker of User Content.
The Service and its original content, excluding User Content, are owned by Ascend and protected by law. We respond to valid notices under the Digital Millennium Copyright Act; see our DMCA Policy for the designated agent and procedure.
The Service and all content are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy, reliability, or completeness of User Content or aggregate scores. We do not warrant that reviews are true or that the Service will be uninterrupted or error-free.
To the maximum extent permitted by law, Ascend and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of, or inability to use, the Service or any User Content. Our total liability for any claim will not exceed the greater of a fixed amount to be finalized with counsel or the amounts you paid us in the twelve months preceding the claim.
You agree to indemnify and hold harmless Ascend and its affiliates from any claims, damages, liabilities, and expenses, including reasonable attorneys' fees, arising out of your User Content, your use of the Service, or your violation of these Terms or any law or third-party right. This includes claims that your User Content is defamatory or otherwise unlawful.
Subject to attorney review and enforceability requirements: any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, seated in a venue to be finalized with counsel, rather than in court, except that either party may bring claims in small-claims court. Disputes will be conducted only on an individual basis and not as a class, collective, or representative action. Governing law will be finalized with counsel.
We may suspend or terminate access at any time for violation of these Terms or to protect the Service or its users. Sections that by their nature should survive, including 6, 8, and 13 through 16, survive termination.
We may update these Terms; material changes will be notified, and continued use constitutes acceptance. If any provision is unenforceable, the rest remains in effect. These Terms are the entire agreement between you and Ascend regarding the Service. Our failure to enforce a provision is not a waiver.
